Commercial Contracts: Drafting, Review & Negotiation
A contract should explain what each party must deliver, when payment is due and what happens if the relationship changes. I help Bulgarian businesses and international clients turn their commercial agreement into workable contractual terms.
Legal support before you sign
I am Lachezar Vesov, an attorney based in Sofia. My work includes drafting new contracts, reviewing a counterparty’s draft and assisting with negotiations. Advice is available in English and Russian, with Bulgarian documents prepared where the transaction requires them.
The review starts with the business objective: what you are buying or providing, your payment exposure, the operational dependencies and the points on which you can negotiate. A short agreement can create substantial obligations; the length of the document is not a measure of its risk.
Contracts I can help with
- Supply and service agreements, consultancy contracts and ongoing business arrangements.
- Distribution, agency and cooperation agreements, with any competition or sector-specific issues identified for separate assessment.
- Confidentiality agreements, letters of intent and preliminary arrangements before a transaction.
- Commercial leases, project agreements and arrangements between business partners.
- Sponsorship, advertising and other commercial agreements in sport.
- Amendments, settlement agreements and documents for an orderly end to a business relationship.
What the work can include
A contract review can cover the parties and signing authority, scope and acceptance of performance, price and tax wording, payment security, liability, confidentiality, termination and dispute resolution. Where a document involves another country, the applicable law, forum and practical enforceability need separate consideration.
Depending on the agreed scope, you can receive a marked-up draft, an explanation of the significant risks, proposed alternatives and a clean version reflecting the agreed terms. Negotiations with the other side and further drafting rounds can be included in the engagement. The scope and fee are agreed before work starts.
Ongoing support for your business
For recurring work, a continuing engagement can cover routine contracts, negotiations, notices, amendments and coordination with company management. The agreement should identify the included work, response arrangements and matters requiring a separate fee. Litigation, tax advice and specialist regulatory work are considered according to the particular instructions.
Prepare for a contract consultation
Send a brief outline of the transaction, the names of the parties, your intended deadline and the main point that concerns you. Have the current draft, annexes, commercial offer and relevant correspondence ready. If the contract has already been signed, say so and identify any payment, delivery or notice deadline. Document sharing can be arranged after the initial enquiry.
Does every contract need notarisation?
No. The required form depends on the transaction. A simple written agreement is appropriate for many business arrangements, while others require specific certification, registration or another statutory form. This should be checked before signing.
Can you review a contract prepared by the other party?
Yes. The review can identify the clauses that create the greatest exposure, suggest revisions and distinguish legal concerns from commercial points for negotiation. No review can remove the counterparty’s insolvency risk or guarantee performance.
Can the work be handled remotely?
Initial consultation, review and drafting can generally be organised remotely. Signing, notarisation, registration or other completion steps may require a different arrangement depending on the transaction.
Sources and legal framework
General information checked on 18 October 2026. The applicable law, current sports rules and the facts of a particular matter must be assessed before action.
