Received a document with a response deadline? State its receipt date and the deadline when enquiring. Negotiations and website enquiries do not themselves suspend time limits.
Working with a Bulgarian lawyer
What should I include in my first enquiry?
Describe the issue, the result you need and any date by which action must be taken. Identify the other parties so a conflict check can be made. A short chronology and the key contract, notice or decision are usually more useful than a large unsorted file. Mention the language of the documents and where you are based.
Can I start a legal matter while living outside Bulgaria?
Many matters can begin with a remote document review and written instructions. Representation may require a power of attorney with particular wording, certification, translation or legalisation. Some procedures require personal attendance. Confirm the requirements for the specific transaction or case before arranging notarisation abroad or booking travel.
What should a legal fee proposal cover?
Ask which work is included: initial advice, document drafting, negotiation, filings or court representation. Clarify the stage covered, payment schedule, VAT where applicable and expenses such as state fees, translations, experts or enforcement fees. An appeal or a new dispute may require a separate scope. Do not assume every cost will be recoverable from the other party.
What if a deadline is approaching?
State the exact deadline at the start of the enquiry and provide the document that created it, together with evidence of when and how it was received. A website enquiry does not itself appoint a lawyer or suspend a deadline. Obtain confirmation that the matter has been accepted and that the required action is covered by the agreed instructions.
Property purchases and ownership
What should be checked before paying a property deposit?
Check who owns the property, who is entitled to sign, the exact property identifier, registered encumbrances and the relevant construction documents. Review the payment agreement itself: recipient, purpose, conditions for refund, completion deadline and consequences of default. A reservation document should not be treated as harmless simply because the initial payment is small.

Can a non-EU citizen buy an apartment and the land beneath it?
Ownership of a building or apartment must be distinguished from ownership of land and from a right of construction. Nationality, treaty rules and the nature of the property affect the permitted structure; agricultural land has additional restrictions. A Bulgarian company is not a universal solution. Check the exact title and the buyer’s position before choosing the purchaser.

Can I stop paying if the developer misses a deadline?
A missed deadline does not automatically make every further instalment optional. Compare the overdue obligation with the payment schedule, extensions and your own performance. Preserve evidence and assess whether notice, a demand for completion, penalties, suspension or termination is available. An unjustified refusal to pay may create a separate breach by the buyer.
Delayed Property Construction in Bulgaria: What Can Buyers Do?
What evidence should I preserve after finding a property defect?
Keep the purchase and construction documents, handover record, dated photographs and correspondence. Notify the potentially responsible party promptly and obtain a technical assessment where needed. Record urgent protective work before it changes the evidence. Claims against a seller and claims under a construction contract or warranty can have different requirements and time limits.

Companies and business ownership
How do I choose between EOOD, OOD, EAD and AD?
Start with the number of owners, governance needs, financing plans and expected transfers of ownership. EOOD and OOD are limited liability company forms; EAD and AD are joint-stock company forms. The right choice depends on more than the minimum capital. Consider decision-making, representation, future investors and the practical cost of maintaining the structure.

Does registering a Bulgarian company give me a residence permit?
Company registration and immigration permission are separate matters. Owning or managing a company does not by itself establish a right to live or work in Bulgaria. A non-EU entrepreneur needs an applicable immigration route and supporting evidence. Assess residence, permitted activity and the business structure together before incurring registration and relocation costs.

Is money paid by an owner automatically company capital?
No. A shareholder loan, a capital contribution and an additional monetary contribution under Article 134 of the Commerce Act are distinct arrangements. They differ in approvals, repayment, ownership effects and accounting treatment. Record the legal basis before transferring money and ensure the company documents, bank reference and accounting records tell the same story.

What should be checked before buying an existing Bulgarian company?
Check ownership and authority, corporate decisions, accounts, tax and social-security issues, material contracts, assets, employees, litigation and security interests. A clean Commercial Register entry is not a complete due diligence review. Findings should feed into the price, closing conditions, warranties, indemnities and any retention or other payment protection.

Contracts and payment protection
Which clauses deserve attention before I sign a business contract?
Check the parties and signing authority, deliverables, acceptance procedure, payment triggers, taxes, deadlines, liability, termination, notices and dispute resolution. Read the schedules and incorporated terms as well as the main document. A commercially important promise should be expressed in the signed agreement rather than left only in a sales email.
Before Signing a Business Contract in Bulgaria: A Practical Review Checklist
How can a contract reduce the risk of an unpaid invoice?
Define when payment becomes due and how delivery or acceptance is proved. Consider staged payments, advance payment, appropriate security and a clear response to late payment. Verify the customer’s identity and capacity to pay before extending credit. A penalty clause may support a claim but does not create assets where the debtor has none.
Is an English-only contract automatically invalid in Bulgaria?
Not simply because it is in English. The transaction may nevertheless have mandatory form or language requirements, and Bulgarian proceedings or filings may require a translation. For a bilingual agreement, check that the two texts match and state which governs if they differ. A language clause cannot remove mandatory legal protections or formalities.
Can I terminate a contract by sending a short email?
The answer depends on the legal ground, the contract’s notice rules and any mandatory formalities. Identify the breach, any required opportunity to remedy it, the correct recipient and proof of delivery. Termination can trigger repayment, damages or penalties and is different from simply refusing further performance. Have the intended notice reviewed before sending it.
Employment and termination
What should I compare in an employment termination proposal?
Check the legal ground, effective date, notice, compensation, unpaid salary, unused leave and any release or confidentiality clause. Ask which sums are gross, when they are payable and whether the draft changes an earlier notice. Different termination grounds may also affect unemployment benefits. Compare the actual documents rather than relying on the label “mutual agreement”.
Employment Settlement Agreements in Bulgaria: What to Check Before Signing
Does every mutual termination require four months’ pay?
No. Ordinary mutual consent under Article 325(1)(1) of the Labour Code is different from employer-initiated termination against compensation under Article 331. Article 331 provides a statutory minimum of four times the last received gross monthly remuneration, unless more is agreed. The proposal, acceptance and payment rules must also be satisfied; the label alone is not enough.
Employment Settlement Agreements in Bulgaria: What to Check Before Signing
Should I wait for settlement talks before challenging dismissal?
Do not assume negotiations extend the time for a court claim. The Labour Code provides a two-month period for disputes concerning termination, running from the termination date. Other employment claims can have different periods. Check the notice, termination document and dates promptly so negotiations can proceed without overlooking the necessary court action.

What should a foreign-owned company prepare before hiring in Bulgaria?
Determine the employer, role, workplace, hours, remuneration and applicable working arrangements. Prepare a compliant written contract and the required employment-register steps before work begins. Review immigration or work-authorisation requirements separately where relevant. Payroll, health and safety, internal policies and personal-data handling also need to fit the actual employment model.

Unpaid invoices and disputes
What is the first step when a Bulgarian customer does not pay?
Confirm the debtor, amount and due date, then assemble the contract or order, invoices, delivery or acceptance evidence and payment correspondence. Check whether the debt is disputed and whether the debtor appears able to pay. A demand, negotiated payment plan, order-for-payment application or lawsuit may be appropriate, but the choice depends on the documents and risks.
Recovering an Unpaid Invoice in Bulgaria: Evidence Checklist
Does winning a court case guarantee payment?
No. Establishing a claim and collecting it are separate stages. Recovery depends on enforceable rights, identifiable assets, competing creditors and the cost of enforcement. Asset checks and, where justified, interim protection may matter before judgment. Review the likely net recovery rather than evaluating a claim only by its nominal amount.
Debt Collection and Enforcement in Bulgaria: A Practical Legal Guide
Can a judgment from another EU state be enforced in Bulgaria?
For qualifying civil and commercial judgments within the Brussels I bis regime, a separate declaration of enforceability is generally unnecessary. The judgment and the prescribed certificate, together with any required translation and service steps, still matter. The applicable regime depends on the country, subject and date of the proceedings; not every foreign decision follows the same route.

What should I do when I receive court or enforcement papers?
Keep the complete documents, envelope and electronic delivery information. Note the actual receipt date and identify the court or enforcement officer, case number and action requested. A payment demand, order, judgment and enforcement notice can require different responses. Seek a review promptly; an informal reply to the creditor may not preserve your procedural rights.
